Description | The company Centrais de Abastecimento de Minas Gerais S/A (CEASAMINAS) consists of a Mixed Economy Company, in which the Union holds 99.67% of the shares with voting rights, constituted through State Law No. 5,577/1970, starting its operation in 1974. In 2000, CEASAMINAS was transferred to the federal government, after negotiation with the state government in which a Purchase and Sale Agreement between the Union and the state was signed. Since its federalization, it has been linked to the Ministry of Agriculture and Livestock (MAPA). CEASAMINAS has warehouses in the state of Minas Gerais, in the cities of Uberlândia, Juiz de Fora, Caratinga, Governador Valadares, Barbacena and, most importantly, Contagem, in greater Belo Horizonte. The company was included in the National Privatization Program (PND), in 2000, by Decree No. 3,654/2000. The company's recommendation for qualification purposes in the Investment Partnership Program (PPI) occurred through the publication of Resolution No. 18, of August 23, 2017, of the Investment Partnership Program Council (CPPI). As it is included in the PND, BNDES began to conduct the process of contracting specialized technical studies to deepen the analyzes in order to ensure adequate continuity of actions aimed at the privatization of the company. Along these lines, after holding an electronic auction (no. 01/2020) in January 2020, BNDES hired specialized consultancy to develop studies related to the structuring and implementation of the privatization of CEASAMINAS. Studies are currently underway. Among the stages of Service C, a public hearing was held on October 19, 2021, in a hybrid modality – in-person environment and virtual environment. For further details about the hearing and related documents such as the report, they are available on the BNDES website. Subsequently, on November 4, 2021, all information collected and processed within the scope of the studies contracted by BNDES was made available, as well as the improvements that occurred during the analyzes carried out by the control bodies. This documentation was available in a data room open to any investor interested in the assets. Still with the aim of expanding disclosure, BNDES, together with the consultancy hired to advise on promoting the sale to potential investors, carried out several interactions with relevant market actors in order to boost engagement in the future transaction. The project was also announced in partnership with the GRI Club at an event held on April 26, 2022. At the time, 33 participants were present, including fund managers, developers and investors in the real estate and logistics segments. Through CPPI Resolution No. 186, of 04/27/2021, the conditions for the privatization of CEASAMINAS were approved, as well as the opening of the Data Room, containing detailed information for those interested in the Company's privatization process. The opening of the Data Room took place on 11/04/2021. CPPI Resolution No. 220, of 12/16/2021, amended, on an ad referendum basis, CPPI Resolution No. 186/2021, establishing additional adjustments and conditions for the privatization of the company. In turn, CPPI ME Resolution No. 228, of 05/20/2022, approved CPPI Resolution No. 220/2021. CPPI Resolution No. 258, of 11/03/2022, amended, on an ad referendum basis, CPPI Resolutions No. 186/2021 and No. 220/2021 and established additional adjustments and conditions for the privatization of CEASAMINAS. Finally, CPPI Resolution No. 261, of 12/06/2022, approved CPPI Resolution No. 258, of 11/03/2022. The notice with information on the conditions for the privatization of CEASAMINAS was published on November 11, 2022. According to the document, the date for submission of proposals was scheduled for December 16, 2022, from 9 am to 1 pm, at the headquarters from B3, in São Paulo/SP. The auction was scheduled for December 22, 2022, at 1 pm in the same location. Through Relevant Announcement No. 2, referring to BNDES Auction Notice No. 3/2022 – CEASAMINAS – PPI/PND, the Special Bidding Committee announces the suspension of the public auction session and that a new schedule will be published as soon as the examination takes place, discussion and voting on the company's financial statements, referring to the 2021 financial year, by the General Assembly of CEASAMINAS. On April 19, 2023, BNDES published Relevant Notice No. 3, through which it communicates: i) the continued suspension of the schedule of BNDES AUCTION NOTICE No. 003/2022 – CeasaMinas – PPI/PND; and ii) the closure of the Process Information Room (“dataroom”). Resolutions and Decrees: Resolution No. 18, of August 23, 2017 – Opines for the qualification of privatization measures related to the Centrais de Abastecimento de Minas Gerais S. A. and the Companhia de Armazéns e Silos do Estado de Minas Gerais, within the scope of the Investment Partnership Program of the Presidency of the Republic, and authorizes the sale of real estate belonging to the assets of the Companhia de Armazéns e Silos do Estado de Minas Gerais. Resolution No. 137, of June 10, 2020 – Provides for the inclusion of evaluations and surveys on the Mercado Livre do Produtor – MLP in the scope of specialized studies necessary for the privatization of Centrais de Abastecimento de Minas Gerais S. A. – CEASAMINAS, to be contracted by National Bank for Economic and Social Development – BNDES within the scope of the National Privatization Program – PND. CPPI Resolution No. 186, of April 27, 2021 – Approves the operational modalities and conditions for the privatization of Centrais de Abastecimento de Minas Gerais S.A. – CEASAMINAS. CPPI Resolution No. 220, of December 16, 2021 – Amends, on an ad referendum basis, Resolution No. 186, of April 27, 2021 of the Investment Partnership Program Council and establishes additional adjustments and conditions for the privatization of Central Supply of Minas Gerais S.A. – CEASAMINAS. CPPI ME Resolution No. 228, of May 20, 2022 – Approves Resolution No. 220, of December 16, 2021, of the Investment Partnership Program Council. CPPI Resolution No. 258, of November 3, 2022 – Amends, on an ad referendum basis, Resolutions No. 186, of April 27, 2021 and No. 220, of December 16, 2021, of the Investment Partnership Program Council, and establishes additional adjustments and conditions for the privatization of Centrais de Abastecimento de Minas Gerais S.A. – CEASAMINAS. CPPI Resolution No. 261, of December 6, 2022 – Approves CPPI Resolution No. 258, of November 3, 2022. Decree No. 3,654, of November 7, 2000 – Provides for the inclusion, in the National Privatization Program – PND, of Centrais de Abastecimento de Minas Gerais S.
