The company was created in 1993 as a joint venture of Enron's subsidiary Gaspart (41.5%), Sergipe state government (17%) and state-owned Petrobras' subsidiary Gaspetro (41.5%). Commercial operations started in early 1995, and Emsergas' network of 43.3 KM serves mostly industrial consumers. The company intends to expand its network in 15.4 KM for industrial supply and in 20 KM for residential supply. As of 2005, Enron was in the midst of liquidating its operations and distributing its assets to its creditors. The Brazilian subsidiary of the Japanese giant Mitsui concluded in May 2006 the acquisition of Gaspart from the Enron group, by US$250 million. In August 2016, Mitsui acquired a 49% stake in Gaspetro, raising its participation in the project company to 61.8%.
