Description | The proposed IFC investment is a bond facility with the use of proceeds to support IHS Holding Limited (“IHS” or the Company) manage foreign-exchange risk, ensure sustainable capital structure, and support its digital and tower infrastructure operations. IHS, an existing IFC client, provides shared communication infrastructure services mainly to Mobile Network Operators (MNOs) and Internet Service Providers (ISPs), who in turn provide wireless voice, data, and fiber access services to end users and subscribers. IHS leases out space on its tower infrastructure to one or more tenants, known as Colocation. IHS was established in 2001 as a communications tower contractor in Nigeria and is one of the world's largest independent and multinational tower companies and the largest in Africa. As of September 30, 2024, IHS owns and manages over 40,000 towers across ten countries in Africa, Latin America, and the Middle East. Since 2011, IFC invested at the Group level to the value of US$124 million equity in a series of capital rounds, (original Board Report IFC/R2010-0361). IFC currently has an approximate 3.5% ownership stake and AMC (Global Infrastructure Fund) has an approximate 2.2% ownership in the Group. In addition, IFC provided debt facilities in Nigeria, Zambia, and Rwanda to support tower infrastructure expansion. Currently, IFC has a debt facility with IHS Zambia, provided in 2020.
