Provision of debt financing to the City of Novi Sad ( the"city") to finance energy efficiency ("EE") renovations and internal rehabilitation of the city's sport and business center SPENS and support balance sheet rationalisation (the "project"). Contribution to improved EE and overall functionality of the SPENS center and support to the city's balance sheet rationalisation. The project contributes to the "green" transition impact quality through environmental benefits arising from reduced carbon footprint and reduction of thermal, energy and water consumption. Also, the project contributes to the "resilient" transition impact quality by encouraging private sector involvement through introduction of ESCO or Energy Performance Contracting (EnPC) for suitable project components. EUR 27,000,000.00 The final scope and project cost estimates will be determined following due diligence. Categorised B under the 2014 ESP. Key Environmental and Social ("E&S") impacts/risks resulting from the implementation of EE measures in SPENS complex include: waste and hazardous materials management; facility life and fire safety; potential asbestos presence; community and occupational health and safety; labour issues; primary supply chains; contractor management; loss of access and other nuisances during works such as air and noise emissions; access to information and grievance mechanism and compliance with permits. E&S due diligence will be undertaken by an independent consultant and will include a corporate audit of the City of Novi Sad's capacity to implement the project in line with Performance Requirements, perform a review of the technical studies and other relevant documentation prepared for the project followed by a site visit. Pre-signing: • Energy Audit and review of implementation arrangements for EE renovations. The study also includes a detailed review of the overall CAPEX required for the renovation of the SPENS facility. • Environmental and Social due diligence, including preparation of all environmental and social aspects of project implementation. Post-signing: • Procurement support, to assist the City with the preparation of tender documents and handling procurement process. • Construction supervision, to assist the City with the monitoring of the use of proceeds, implementation and supervision support.
