ODATA Brasil S.A. (“ODATA” or the “Company”) is a carrier neutral Multi-Tenant data center (“MTDC”) operator founded in 2015, 88.74% owned by Pátria Investimentos, a Brazilian private equity fund and 11.26% owned by CyrusOne, an international strategic player. MTDCs are a key component in the delivery of low-cost data services to consumers and businesses. ODATA operates three Data Centers (“DCs”), located in established industrial zones in the cities of Santana de Parnaíba (DC SP01), Hortolândia (DC SP02) and Barueri (DC SP03) in Brazil, with total 30.8 megawatts (“MW”) of potential power capacity.DC SP01 was built in early-2017 and is ODATA’s first DC in Brazil, with up to 11.6MW capacity and 4,320 sqm floor space across 12 rooms. Currently the company has only 2 rooms under operation and ODATA expects to increase the DC’s capacity over the next years. DC SP02 is ODATA’s second DC in Brazil and it has a full capacity of more than 2,000 racks, representing 16MW of IT power. Construction has been split in two phases of 8MW each and phase 1 was finalized in May 2020. This DC has been built in a site with up to 40MW of IT power and ODATA plans to develop a wholesale DC project for the remaining capacity of 24MW for additional clients.DC SP03 is ODATA’s third DC in Brazil, a build-to-suit project developed in 2011 and acquired from T-systems in July 2019. This DC is already working at full capacity, with 667 racks representing 3.2MW of IT power. The company does not expect to expand this DC, as it is already working at full capacityThe proposed project consists of providing a senior secured A Loan of up to US$30 million. The funds will be used to support the company’s capital expenditure program requirements over the next 3 years (2020-2023) for the expansion of SP01 and SP02 and for the payment of remaining instalments from the acquisition of SP03 (the “Project”).
