Opportunity Subway Program – Overview The Greater Toronto and Hamilton Area (“GTHA”) is experiencing unprecedented growth calling for corresponding expansion of its transportation network. Expanding the transit system is essential. Increasing the transit network’s capacity into downtown Toronto, other major employment areas and neighbourhoods throughout the City is critical to unlocking the GTHA’s potential as a leading international metropolitan region and maintaining the GTHA’s appeal to people and major employers. The Province of Ontario’s New Subway Transit Plan for the Greater Toronto and Hamilton Area contemplates $28.5 billion in new subway construction in the Toronto area along four priority subway projects, which include:   Ontario Line Scarborough Subway Extension Yonge North Subway Extension Eglinton Crosstown West Extension Ontario Line – Overview The “Ontario Line” is a stand-alone, rapid transit system that connects Ontario Science Centre to Exhibition/Ontario Place. The “Initial Business Case” proposes Ontario Line as approximately 16km in length with 15 potential stations. Over half of the route is in tunnel and served by 8 underground stations. There are six interchange/intermodal stations, connecting to GO train services at Exhibition/Ontario Place and East Harbour, and to the Toronto Transit Commission (“TTC”) subway network on Line 1 at both Queen and Osgoode stations, on Line 2 at Pape station, and to the future Eglinton Crosstown LRT (Line 5) at the Ontario Science Centre. Stations will also provide connections to surface bus and streetcar routes. A key feature of the Ontario Line is the proposed service level, with the ability of trains to operate at 90 second headways. This will involve the operation of rolling stock with driverless technology. Ontario Line - Detailed Description The Ontario Line will be delivered in the following three (3) separate procurement contracts: Rolling Stock, Systems, Operations and Maintenance Contract (“RSSOM Contract”, or the “Project”) Southern Civil, Stations and Tunnel Contract (“South Civil Contract”) Northern Civil, Stations and Tunnel Contract (“North Civil Contract”) All three (3) contracts will be delivered as P3 projects. The RSSOM Contract will be delivered using a Design-Build-Finance-Operate and Maintenance (“DBFOM”) model and will have a direct interface with the South Civil and North Civil Contracts. Management of Integration Risk The Sponsors recognize that delivering Ontario Line through multiple projects results in increased retained integration risk that the Sponsors will need to proactively manage. The Sponsors are considering a number of tools to manage these integration risks: Creation of clear scope responsibilities and boundaries in each respective Project Agreement, along with defined interface obligations.  A series of commercially confidential meetings during the RFP in-market period with proponents of both RSSOM and South Civil to ensure that the PSOS for the two projects are developed on a back-to-back basis to ensure that between them there are no gaps, overlaps or conflicts. It is currently anticipated that the integration process will require the Sponsors and the RSSOM and South Civil Project Co(s) to work together during a set period of time following identification of First Negotiations Proponent (“FNP”) to resolve any conflicts and inconsistencies through various coordination and conflict resolution workshops. An Interface Agreement to be entered into by the Sponsors and the project companies for both RSSOM and South Civil (with provisions for adding North Civil Project Co when that project reaches financial close). The Interface Agreement, together with the Project Agreement, would address various areas of coordination and interface between the parties and will include establishment of interface committees, design development, work schedules, site access and health and safety. The details of the Interface Agreement would be made available to proponents during the RFP in-market period and the form of agreement proponents would be expected to enter would be a schedule to the Project Agreement and settled prior to bid submission.   RSSOM Contract - Scope of Work The RSSOM Contract will be responsible for the design, supply, installation, testing and commissioning of all transit systems, the OMSF and rolling stock required for the Ontario Line. The contract will also be responsible for the ongoing operations and maintenance of those assets for the period of the contract. The total period of the RSSOM Contract will be thirty years. The RSSOM Contract scope includes: Revenue Service Vehicles (Trains) and maintenance vehicles. Traction power supply and distribution, including supports and foundations. Train control; onboard and wayside. Communication systems; network, public address, radio, telephone, Wi-Fi, CCTV, passenger information systems. Supervisory control and data acquisition (“SCADA”) for all systems. Platform screen doors. Trackwork; rail, track structure, fastenings special trackwork, vehicle arrestors. Safety & security systems; intrusions detection, emergency stop. Ticketing systems; fare collection and enforcement equipment that is compatible and integrated with the Sponsor’s fare collection software system (“PRESTO”). The RSSOM Contract will be responsible for the design, build and commissioning of the Ontario Line’s Operations, Maintenance and Storage Facility (“OMSF”).
