SAHL is an existing company with both retail and wholesale mortgage banking lines of business. It operates on the retail level by originating mortgages through a new and non-bank distribution channel. SAHL offers existing mortgage holders the option to lower their mortgage rates, because the company has lower operating expenses than traditional banking firms. This is called the “switching business”. SAHL has made significant inroads in this market. In addition, the company operates in the wholesale market by securitizing it mortgage portfolio. In this sense it provides a bridge between the primary mortgage market and the capital markets of South Africa. This particular investment involves a buyout of Peregrine, one of the original investors in SAHL. Peregrine today has about a 10 percent shareholding, but doesn’t desire a longer term outlook in their investment. IFC’s buyout of this shareholder would restructure and rationalize the company’s shareholding as it enters a new phase of corporate development
