This document initially may be provided as a non - binding , confidential Proposal . The TOU and this Order form a separate Agreement between the parties . All amounts agreed hereunder are exclusive of applicable taxes and expenses . Any conflict between the TOU and this Order with respect to amounts or timing of payments or term or renewal of an Agreement , will be resolved in favor of this document ; all other conflicts will be resolved in favor of the TOU . Capitalized terms used but not defined in this document ( other than those capitalized solely for grammatical purposes ) have the meanings given to them in the TOU . Notwithstanding any contrary terms in the TOU , the following terms shall apply to this Services Order : Subscription Period : 1 - Year Term Start Date : 07 / 01 / 2026 Payment Terms : Customer will be invoiced $ 800 , 000 for Term 1 ( 7 / 1 / 2026 - 6 / 30 / 2027 ) on 7 / 1 / 2026 . All payments are due net 30 from the invoice date . Any usage of the platform exceeding the quoted commitment amounts above will be invoiced at the quoted unit price on a quarterly basis . Renewal : This agreement will auto - renew on an annualized basis for $ 902 , 400 with a 7 % annual subscription increase on the subtotal amount of the agreement at the end of term unless customer cancels in writing 45 days prior to term end date .
