Legal Services under this agreement will be in consultation with General Counsel and upon request may include , but not limited to , the following : 1 . Attendance at any University events and meetings ( regular or special ) when requested . 2 . Consultation with and advising the general counsel , officers , employees , and officials of Rowan University on legal matters pertaining to higher education and related specialty matters when requested . 3 . Advise and provide assistance to the University in the preparation of legal documents , papers , contracts , specifications , bond documents , waivers , and such other legal drafting as may be required from time to time . 4 . Negotiations with entities having dealings with Rowan University in legal matters . 5 . Representation of Rowan University in litigation including all appropriate research , preparation of memoranda , preparation of pleadings , discovery , and court appearances . 6 . Contract and document review . 7 . Review and approval of documents pertaining to temporary and permanent Financing methods and documents relating to University projects including tax - free issues and alternative financing methods . 8 . Provide services relating to acquisition of land for , or the development of , any project . 9 . Prepare contracts of sale , disposition agreements , and other related documents . 10 . Assist in the due diligence work related to property acquisition . 11 . Assist as requested in real estate transactions , involving the purchase , sale , or lease of real property . 12 . Prepare and / or review partnership documents , management , regulatory , development , and other agreements related to University projects . 13 . Make presentations at public meetings , community forums , and public hearings . 14 . Analyze , investigate and research matters related to the regulatory , programmatic , contractual and fiduciary duties , functions and responsibilities of Rowan University . 15 . Provide consultation and guidance in application of Higher Education , Municipal , State , and Federal Law . 16 . Provide analytical memoranda pertaining to significant policy or legal issues . 17 . Provide opinion letters on specific issues when requested . 18 . Provide assistance and advice relating to intellectual property , including but not limited to patents . 19 . Other legal duties as assigned and agreed upon . B .
